Terms of Service

The agreement between you and us. Plain English, no surprises buried halfway down.

Effective10 October 2026Version1.0ProviderAlfonso Cejudo · Prague, CZ

§ 01The short version

These are the terms that govern your use of Expecto Centum — an AI-assisted engineering tool. We've tried to keep them readable. The short version is:

  • Use the service for lawful purposes, don't abuse it, and don't try to break or resell it.
  • You keep ownership of your code and your account. We don't claim rights to either.
  • The service is provided as-is. AI-generated output can be wrong; you are responsible for reviewing and merging anything the agent produces.
  • The agent runs on your computer, with your permissions, in the directories you point it at. Choosing that environment — and keeping backups — is yours.
  • If you stop paying or break these terms, we may suspend or close your account. You can close it yourself any time.
  • Czech law applies, and disputes are heard in Prague.

§ 02The parties

"We", "us", or "Expecto Centum" means:

Alfonso Cejudo, sole proprietor
Revoluční 2137/8b
110 00 Prague, Czech Republic
Business ID (IČO) 23226684
hello@expectocentum.com

"You" means the person or organization registering an account and using the service. By creating an account or using the desktop app, you agree to these terms. If you're using Expecto Centum on behalf of a company, you confirm you have authority to bind that company to these terms.

§ 03Your account

To use the service you need an account. You agree to:

  • Provide accurate registration information and keep it up to date.
  • Keep your password (or OAuth credentials) confidential.
  • Be responsible for everything that happens under your account, whether you authorized it or not — until you tell us it has been compromised.
  • Be at least 16 years old. The service is intended for professional use.

You can close your account at any time from your account dashboard on this site, or by emailing us. See our Privacy Policy for what happens to your data on closure.

§ 04License to use the service

Subject to these terms and your payment of any applicable fees, we grant you a non-exclusive, non-transferable, revocable license to install and use the Expecto Centum desktop application and access the related online services for your own internal use.

You may install the desktop app on as many machines as you like, but the account holds one active desktop session at a time. Signing in on another machine takes that seat and signs the previous machine out; you can also release it yourself from the Devices tab of your account dashboard.

One account is one person. Sharing an account between individuals is not permitted.

§ 05Ownership of code & output

Your code stays yours

Expecto Centum runs as a desktop application on your computer. We do not claim any ownership, license, or rights over the source code, repositories, or files on your machine. The agent reads and modifies them locally; nothing from them is uploaded to us except what you choose to put in an error report (see the Privacy Policy).

AI-generated output

Code, commit messages, pull-request descriptions and other artifacts produced by the agent on your machine ("Output") are yours. You are free to use, modify, sell, and distribute them however you like, subject to the rights of any third parties whose code or licenses your repositories already reference.

What we own

The Expecto Centum brand, logo, marketing site, desktop app binaries, and underlying source code are owned by us and protected by copyright and trademark law. These terms do not transfer any of that ownership to you.

You are the engineer of record

AI-generated code can be wrong, insecure, or licensed in ways you didn't intend. You are responsible for reviewing every change before you commit, push, or merge it. We provide a tool; the judgment is yours.

§ 06Local execution & your environment

Expecto Centum runs on your own computer. When you start a run, the agent works inside the repositories, working trees and directories you point it at: it reads and writes files, creates and switches branches, commits, pushes, opens pull requests, and runs commands — builds, test suites, linters, package managers, and the CLI coding agents you have installed — with the permissions of your own user account. Runs you leave unattended, including 24/7 sessions, carry on through their stages without pausing for your approval.

What is yours to decide

  • The environment. You choose the machine, the repositories and the paths the agent is allowed to work in. Point it only at an environment you are willing to have modified.
  • Recoverable copies. Use version control and keep your own backups. Uncommitted work, ignored files, and anything with no remote you can restore from are yours to protect.
  • The credentials you configure. Tokens, keys and sign-ins you give the app are used by processes running on your machine, under your identity, against your accounts.
  • What the commands do. A workflow stage runs the commands and agents your configuration names. Reviewing them, and the changes they produce, is your call — see § 05.
We do not control what runs on your machine

To the maximum extent permitted by law, we are not responsible for any change to, loss of, or damage to your files, repositories, branches, working trees, databases, development environment, installed software, hardware or any other system, nor for any cost, outage or third-party charge, arising from operations the app or an agent performs on your computer — including commands and code that you, your configuration, or an AI-generated plan caused to be executed. That risk is yours, and § 12 and § 13 apply to it in full. If you use the service as a consumer, § 13 sets out what we are responsible for in its place.

§ 07Acceptable use

You agree not to:

  • Use the service for any unlawful purpose, or to produce code intended to cause harm, fraud, or violate someone else's rights.
  • Reverse-engineer, decompile, or attempt to extract the source code of the desktop app or our servers, except where that right is expressly granted by applicable law and cannot be waived.
  • Resell, sublicense, or offer the service to third parties as part of a competing product.
  • Probe, scan, or test the security of our infrastructure without prior written permission. Responsible vulnerability disclosures are welcome at security@expectocentum.com.
  • Use the service to generate content that infringes intellectual property, contains malware, or violates export-control or sanctions law.
  • Abuse rate limits, attempt to circumvent paid features, or use automated means to create accounts.

We may suspend or terminate accounts that violate this section, with or without notice depending on the severity.

§ 08Fees, billing & refunds

Some features are free; others require a paid subscription. The current plans and prices are listed at expectocentum.com/plans. By subscribing you authorize us (via Stripe) to charge the payment method on file at the start of each billing period.

Renewals

Subscriptions renew automatically until you cancel. You can cancel at any time from your account settings; cancellation takes effect at the end of the current paid period.

Refunds

If you're an EU consumer, you have the right to withdraw from a paid subscription within 14 days of purchase under the EU Consumer Rights Directive. We do not ask you to waive that right at checkout, so it stands for the full fourteen days.

Outside the statutory withdrawal period, fees are non-refundable except where required by law or where we've materially failed to provide the service. We deal with edge cases reasonably; write to billing@expectocentum.com.

Taxes

We are not registered for VAT, so no VAT is charged. The price on the plans page is the full price you pay.

Price changes

We may change prices for new billing periods with at least 30 days' notice by email. If you don't want the new price, you can cancel before it takes effect.

§ 09Third-party services

The service relies on third parties: the account database and sign-in (Supabase), hosting for this site (Vercel), anonymous usage counts for this site and, if you agree to them, for the desktop app (Aptabase), the security check on sign-up and sign-in (Cloudflare Turnstile), the email we send and the mail you send us (Resend), payment processing (Stripe), our private product repository on GitHub, where an error report, bug report or feature request you send becomes an issue, and the OAuth providers you choose to sign in with (GitHub, GitLab, Bitbucket, Google). Their own terms govern your interaction with them. The Privacy Policy lists what each one handles.

The agent on your machine may also call third-party large-language-model APIs using credentials you configure. Those calls are governed by the provider you've chosen. We are not responsible for the availability, accuracy, or terms of those third-party services.

§ 10Changes to the service or these terms

We are an evolving product. We may add, change, or remove features at any time. For material changes that reduce functionality you've paid for, we'll give reasonable notice and, where appropriate, a pro-rata refund.

We may update these terms. If we do, we'll post the new version here with a new effective date and email every account holder at least 30 days before it takes effect (changes required by law may take effect sooner). Your continued use after the effective date constitutes acceptance. If you don't accept the new terms, you can close your account.

§ 11Suspension & termination

You can terminate at any time by closing your account. We may suspend or terminate your account if:

  • You materially breach these terms (including non-payment) and don't fix it within 14 days of notice — or immediately, if the breach is severe.
  • We're required to do so by law or court order.
  • We discontinue the service entirely (we'll give at least 60 days' notice and a pro-rata refund of any unused prepaid fees).

On termination, your right to use the service ends. Sections that by their nature should survive termination — ownership, disclaimers, limitation of liability, governing law — survive.

§ 12Warranties & disclaimers

We will provide the service with reasonable care and skill. Beyond that:

The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all other warranties, whether express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, or that the service will be uninterrupted, error-free, or that AI-generated output will be accurate, secure, or fit for any specific use.

Nothing in this section limits any rights you have as a consumer under applicable law that cannot be excluded.

§ 13Limitation of liability

If you use the service for business

This part applies when you use the service for your trade, business, craft or profession.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to these terms or the service shall not exceed the greater of (a) the fees you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) twenty euros (€20).
We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if we have been advised of the possibility of such damages.

If you use the service as a consumer

If you use the service for purposes outside your trade, business, craft or profession, the cap and exclusions above, and the disclaimer in § 06, do not apply to you. Instead:

  • We are responsible for loss you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill.
  • We are not responsible for loss that neither of us could have foreseen when you agreed to these terms.
  • Where you could reasonably have prevented a loss yourself — for example by keeping the backups § 06 asks for — what you can claim from us is reduced to that extent.

Nothing in these terms affects your statutory rights as a consumer.

Nothing in this section limits liability that cannot be excluded under applicable law — for example, liability for death or personal injury caused by negligence, fraud, or any other liability that, by law, cannot be limited.

§ 14Indemnification

If you use the service for your trade, business, craft or profession, you agree to defend and indemnify us against any third-party claim arising from (a) your misuse of the service, (b) your violation of these terms, or (c) code, content, or AI-generated Output you produce, ship, or distribute using the service. We'll tell you promptly about any such claim and let you control its defense (with our reasonable cooperation).

§ 15Governing law & venue

These terms are governed by the laws of the Czech Republic, without regard to its conflict-of-law rules. The courts of Prague, Czech Republic have exclusive jurisdiction over any dispute arising under these terms — except that consumers may also bring claims in the courts of their EU country of residence, where applicable EU law so requires.

If you are a consumer, you may also take a dispute with us to the out-of-court consumer dispute resolution body for the Czech Republic, the Czech Trade Inspection Authority (Česká obchodní inspekce): coi.gov.cz.

§ 16Miscellaneous

  • Entire agreement. These terms, together with the Privacy Policy and any order form you sign with us, are the entire agreement between us about the service.
  • Severability. If a court finds part of these terms unenforceable, the rest stays in force.
  • No waiver. If we don't enforce a right immediately, we haven't waived it.
  • Assignment. You may not assign these terms without our consent. We may assign them in connection with a merger, acquisition, or sale of substantially all our assets.
  • Force majeure. Neither party is liable for delays caused by events outside its reasonable control.
  • Notices. We'll send notices to your account email. You can send notices to us at hello@expectocentum.com.
